Terms of Service
These Terms of Service ("Terms") govern your access to and use of the pre-auth.com website and payment pre-authorization platform (collectively, the "Service") operated by Pre-auth.com ("Pre-auth", "we", "us", or "our"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree, do not use our Service.
1. Overview of the Service
Pre-auth.com provides a software platform that enables businesses (hotels, salons, rental services, booking platforms, and similar merchants) to initiate and manage card pre-authorizations. A pre-authorization temporarily holds a specified amount on a cardholder's payment card without immediately charging it.
Pre-auth.com is a SaaS orchestration layer. We do not collect, store, or process raw payment card data. Card data entered during the pre-authorization flow is transmitted directly to the acquiring bank or payment infrastructure provider integrated with the merchant's account. The acquirer is responsible for card data security in accordance with PCI DSS. Pre-auth.com stores derived transaction records, pre-authorization status events received via acquirer webhooks or API callbacks, and any customer or booking data entered by merchants through our application.
During our pre-launch phase, the Service consists of an informational website and a waitlist registration feature. Full platform access will be provided to registered businesses once we launch.
2. Eligibility
By agreeing to these Terms, you represent and warrant that:
- You are at least 18 years old.
- You have the authority to bind the business on whose behalf you are acting, if applicable.
- Your use of the Service will comply with all applicable laws, regulations, and these Terms.
3. Accounts and Access
When we offer account registration, you agree to provide accurate and complete information and to keep your credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately at hello@pre-auth.com if you suspect any unauthorised access.
4. Permitted Use
You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service to process transactions for illegal goods or services.
- Initiate fraudulent pre-authorizations or use stolen card details.
- Attempt to reverse-engineer, decompile, or otherwise extract the source code of our platform.
- Interfere with or disrupt the integrity or performance of the Service.
- Circumvent any security, access control, or rate-limiting measures.
- Resell or sublicence access to the Service without our written consent.
- Violate any applicable law, including payment card network rules and anti-money laundering regulations.
5. Payment Terms
Pricing and billing terms will be communicated to you prior to your activation on the full platform. Unless otherwise agreed in writing:
- Fees are billed in advance on a monthly or annual basis.
- All fees are exclusive of applicable taxes, which are your responsibility.
- Fees are non-refundable except as required by law or as explicitly stated in a separate agreement.
6. Acquirers and Payment Infrastructure
Pre-auth.com integrates with acquiring banks and payment infrastructure providers to facilitate pre-authorization requests. Card data is transmitted directly to the acquirer; Pre-auth.com does not sit within the card data environment and is not a payment processor or acquirer. Your use of the Service may also be subject to your agreement with the relevant acquirer or payment provider.
Use of the Service is subject to the rules and regulations of applicable payment card networks (Visa, Mastercard, etc.). You agree to comply with all such network rules as they apply to your use case as a merchant, including rules governing pre-authorization hold periods, capture timeframes, and cardholder disclosure obligations. You are responsible for ensuring your use of pre-authorizations is lawful and disclosed to cardholders.
7. Intellectual Property
All intellectual property rights in the Service, including the platform, software, trademarks, logos, and content, are owned by Pre-auth.com or its licensors. Nothing in these Terms grants you any ownership rights. You may not use our trademarks or branding without our prior written consent.
We grant you a limited, non-exclusive, non-transferable licence to access and use the Service solely as permitted by these Terms.
8. Confidentiality
Each party agrees to keep confidential any non-public information received from the other party and to use it only for the purposes of the Service. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
9. Disclaimers
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Pre-auth.com disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
10. Limitation of Liability
To the fullest extent permitted by applicable law, Pre-auth.com and its directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or in connection with the Service.
Our total aggregate liability to you for any claims arising under these Terms will not exceed the greater of (a) the fees you paid to us in the three months preceding the claim, or (b) AUD $100.
11. Indemnification
You agree to indemnify, defend, and hold harmless Pre-auth.com and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party rights.
12. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may terminate your use of the Service at any time by ceasing to access it. Upon termination, all licences granted herein immediately cease. Provisions that by their nature should survive termination will continue to apply.
13. Modifications
We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the effective date and, where appropriate, by notifying registered users by email. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
14. Governing Law and Disputes
These Terms are governed by the laws of New South Wales, Australia, without regard to conflict of law principles. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.
15. General
- Entire agreement — These Terms, together with our Privacy Policy and any separate service agreement, constitute the entire agreement between you and Pre-auth.com regarding the Service.
- Severability — If any provision is found to be unenforceable, the remaining provisions will continue in full force.
- Waiver — Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
- Assignment — You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights freely.
